Electronic Data Gathering, Analysis, and Retrieval

EDGAR (Electronic Data Gathering, Analysis, and Retrieval) is the SEC's electronic filing system. Virtually all forms required under the Securities Act of 1933, the Securities Exchange Act of 1934, the Trust Indenture Act of 1939, and the Investment Company Act of 1940 must be filed through EDGAR. The system is governed by Regulation S-T (17 CFR Part 232) and the EDGAR Filer Manual.

EDGAR accepts filings 24 hours a day, 7 days a week. However, filings submitted after 5:30 PM Eastern Time on business days, or on weekends and holidays, are not considered filed until the next business day. The system processes filings in the order received and typically provides an acceptance or rejection notification within minutes.

Account Registration

Step 1: Obtain EDGAR Access

  1. Submit Form ID (17 CFR 232.10) to the SEC to request EDGAR access codes. Form ID can be submitted online through the EDGAR Filing Website.
  2. Include a notarized authentication document signed by the applicant or an authorized officer of the applicant entity.
  3. The SEC will issue a Central Index Key (CIK) number, which uniquely identifies the filer in the EDGAR system.
  4. Upon approval, the filer receives access codes: CIK, CIK Confirmation Code (CCC), Password (used for EDGAR login), and PMAC (Password Modification Authorization Code).

Step 2: Filing Agent Selection

While companies can file directly through EDGAR, most public companies use a third-party filing agent. Filing agents specialize in:

  • Converting documents to the required EDGAR format (HTML, ASCII, or XBRL)
  • Performing EDGAR validation and test filings before live submission
  • Managing the filing process to ensure timely submission
  • Handling exhibits, XBRL tagging, and Inline XBRL rendering
  • Common filing agents include Donnelley Financial Solutions (DFIN), Toppan Merrill, and Workiva

Test Filings

EDGAR provides a test filing environment that allows filers to validate their submissions before making a live filing. Key points:

  • Test filings are submitted using the same process as live filings but with a "TEST" submission type designation
  • Test filings are not publicly disseminated and do not satisfy any filing obligation
  • The EDGAR system will process the test filing and return acceptance or rejection with the same validation rules as a live filing
  • It is strongly recommended to submit at least one test filing before the first live filing to verify formatting, XBRL tagging, and exhibit references
  • Test filings are automatically removed from the system after a period and do not appear in the public EDGAR database

CIK Lookup and Company Search

The SEC provides several tools for looking up company filings and CIK numbers:

  • EDGAR Company Search (efts.sec.gov/LATEST/search-index) -- Search by company name, CIK, ticker symbol, or SIC code to find all filings for a specific entity
  • Full-Text Search (efts.sec.gov/LATEST/search-index) -- Search the full text of EDGAR filings for specific terms or phrases
  • EDGAR Filing Database -- Browse recent filings by form type, date range, or filing agent
  • XBRL Viewer -- View Inline XBRL filings with interactive tagged data elements
  • Company Filings Page -- Each CIK has a dedicated page (sec.gov/cgi-bin/browse-edgar?action=getcompany&CIK=) listing all historical filings

Acceptance and Rejection

Common Rejection Reasons

  • Invalid or expired CIK, CCC, or password
  • Incorrect form type or period of report
  • Documents exceeding EDGAR file size limits
  • Invalid HTML tags or unsupported character encodings
  • XBRL validation errors (taxonomy errors, calculation inconsistencies)
  • Missing required documents or exhibits
  • Incorrect file naming conventions (EDGAR requires specific naming patterns)

Filing Time Cutoffs

EDGAR accepts filings 24/7, but the official filing date follows SEC rules: filings accepted before 5:30 PM ET on a business day receive that day's filing date. Filings accepted after 5:30 PM ET, or on weekends/holidays, receive the next business day as the filing date. The SEC observes all federal holidays.
